Terms of Service
Effective: April 17, 2026
These Terms of Service ("Terms") govern your access to and use of the Trade Replay service at tradereplay.net ("the Service"), operated from Connecticut, USA ("we", "our", "us"). By accessing or using the Service, you agree to be bound by these Terms. If you don't agree, don't use the Service.
1. The Service
Trade Replay is a web application that provides (a) tick-level replay of historical US equity market data, (b) a paper-trading simulator that operates on that replay, and (c) tools for importing and reviewing your own trade history. The Service is currently in beta — features, pricing, and availability may change without notice, and brief outages or bugs are expected.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. By using the Service you represent that you meet these requirements.
3. Accounts
You're responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@tradereplay.net if you believe your account has been compromised.
You agree to provide accurate, current, and complete information when creating your account, and to keep it accurate.
4. Acceptable use
You agree not to:
- Attempt to reverse engineer, decompile, or extract the source code of the Service
- Scrape, mirror, or bulk-download market data served by the Service (market data is licensed from a third-party provider and subject to their redistribution restrictions)
- Circumvent rate limits, tier gates, or other access controls
- Resell, sublicense, or commercially redistribute the Service or its data without our written permission
- Use the Service to transmit malware or abusive content
- Share account credentials with others or create accounts for bots / automated clients
We may suspend or terminate accounts that we reasonably believe are in violation of this section.
5. Subscriptions and billing
a. Plans
The Service offers a free tier and a paid Basic tier. Current pricing is displayed in the Service and may change with at least 30 days' notice to existing subscribers.
b. Billing
Paid subscriptions are billed monthly in advance via Stripe. Subscriptions renew automatically until canceled. You authorize us (via Stripe) to charge the payment method on file on each renewal date.
c. Cancellation and refunds
You can cancel your subscription at any time through the Customer Portal accessible from the Settings modal. Cancellation takes effect at the end of the current billing period — you keep access through that period. We do not provide refunds for partial billing periods except where required by law.
d. Failed payments
If a renewal payment fails, we'll retry automatically for up to a short
grace period during which your tier remains active (past_due
status). If the payment continues to fail, your subscription will be
canceled and your tier will revert to free.
6. Market data
Historical market data displayed by the Service is sourced from Polygon.io and is subject to Polygon's terms. You receive a limited, non-exclusive, non-transferable license to view this data through the Service for your own analysis. You may not redistribute, resell, or mirror it.
We make reasonable efforts to deliver accurate data but cannot guarantee it is complete, correct, or up-to-date. You should not rely on the Service's data for live trading decisions.
7. Intellectual property
The Service, including its software, design, logos, and other brand elements, is our property or licensed to us, and is protected by US and international copyright and trademark laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.
You retain all rights to the trade data you import. Imported trades are stored in your browser's localStorage only; we do not claim any rights to them.
8. Beta service; no warranty
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all implied warranties including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, secure, error-free, or that defects will be corrected. This is especially true during the beta period.
9. Limitation of liability
To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including without limitation loss of profits, loss of revenue, trading losses, loss of data, or loss of goodwill — arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the total amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).
You acknowledge that any trading decisions you make, whether informed by the Service or not, are your sole responsibility. We are not liable for any trading gains or losses you may experience.
10. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right, or (d) any content or data you submit to the Service.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at our discretion, without notice, for any reason, including violation of these Terms. On termination, your right to use the Service ends immediately. Sections that by their nature should survive (e.g., limitation of liability, indemnification, dispute resolution) survive termination.
12. Governing law
These Terms are governed by the laws of the State of Connecticut, USA, without regard to its conflict-of-law rules.
13. Dispute resolution
We hope any disagreement can be resolved informally — please email support@tradereplay.net before initiating a formal dispute.
Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered by a recognized arbitration service in Connecticut, USA. You and we each agree that disputes will be brought only in an individual capacity and not as part of a class, collective, or representative action. Either party may seek injunctive or equitable relief in a court of competent jurisdiction in Connecticut for intellectual-property or confidentiality matters.
14. Changes to these Terms
We may revise these Terms from time to time. Material changes will be announced in-app or via email at least 14 days before taking effect, and the "Effective" date at the top of this page will be updated. Continued use of the Service after changes take effect constitutes acceptance.
15. Miscellaneous
- Severability: if any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
- No waiver: our failure to enforce any right is not a waiver of that right.
- Entire agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
- Assignment: you may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
